TERMS AND CONDITIONS

PROMOTIONAL PRIZE DRAW

IMPORTANT NOTICE: This promotion is not sponsored, endorsed, administered by, or associated in any way with FIFA (Fédération Internationale de Football Association), its affiliated entities, national football associations, or any other sports competition organising body. Nude Project acts as the sole organiser and party responsible for this promotion. Accordingly, there is no connection, sponsorship, authorisation, affiliation, collaboration, or relationship of any kind between Nude Project, this promotion, and FIFA or any of its related entities.

1. PURPOSE AND ORGANISER

These Terms and Conditions (the “Terms”) govern the conditions of participation in the random promotional prize draw entitled “Football Edition” (the “Prize Draw”), organised by:

For each match won by the Spanish National Team during the tournament, the Organiser will conduct a prize draw among all valid purchasers of the Nude Project Digital Wallpaper (the “Digital Wallpaper”), under the terms described herein.

 

2. PRIZE DRAW MECHANICS AND PURPOSE

2.1 Participation in the Prize Draw is exclusively linked to the purchase of the Nude Project Digital Wallpaper (the “Digital Wallpaper”), a digital product available on the Organiser’s official website during the Promotion Period at a retail price of €1.00 (VAT included). The Digital Wallpaper consists of an original digital image created by Nude Project, formatted for use as a mobile device wallpaper. Its design features an exclusive ticket concept conceived and designed by Nude Project for this promotion. Following purchase, the purchaser will receive an email at the address provided during checkout containing a download link from which the image can be obtained. The Digital Wallpaper constitutes an independent digital product with its own value and purpose, regardless of participation in the Prize Draw.

2.2 For each unit of the Digital Wallpaper purchased, the purchaser will automatically and free of charge receive one (1) entry (order number), identified by a unique ticket code, granting eligibility to participate in all prize draws held during the Promotion Period, regardless of whether they have previously won a prize draw. There is no purchase limit per user; each unit purchased generates an additional and independent entry. Participation is provided as a complimentary benefit attached to the purchase and does not involve any surcharge beyond the product price.

2.3 Entries cannot be acquired independently of the purchase of the Digital Wallpaper.

2.4 bis  The Digital Wallpaper is a non-refundable digital product. As access to the downloadable content is provided immediately after purchase, the purchaser expressly acknowledges and consents to the loss of their right of withdrawal pursuant to Article 103(m) of Spanish Royal Legislative Decree 1/2007 (General Consumer and User Protection Act). In any event, should the purchaser exercise their right of withdrawal before accessing the content, such withdrawal shall automatically and irrevocably result in the forfeiture of all entries associated with that purchase.

2.4 It is expressly confirmed that the price of the Digital Wallpaper has not been increased in connection with the Prize Draw, in compliance with the requirement that participation in promotional prize draws remains free of charge under Spanish Law 13/2011.

2.5  Prize Draw Trigger and Structure by Competition Stage. The trigger for each prize draw depends on the stage of the competition:

•       During the Group Stage: a prize draw shall only be triggered by a match won outright by the Spanish National Team in regulation time. In the event of a draw or defeat, no prize draw shall be held for that match, regardless of whether the Spanish National Team remains in the competition. Tickets shall remain valid for all subsequent prize draws triggered by future victories.

•       During the Knockout Stages (Round of 32, Round of 16, Quarter-Final, Semi-Final, and Final): a prize draw shall be triggered whenever the Spanish National Team qualifies to advance to the next round, irrespective of whether qualification is achieved through victory in regulation time, extra time, or a penalty shootout. In the case of the Final, the prize draw shall be triggered by the Spanish National Team’s participation in that match.

 

Each prize draw is independent. The list of eligible participants for each prize draw shall consist of all Digital Wallpapers purchased and registered prior to the official kick-off time of the Spanish National Team match triggering the relevant prize draw, according to the tournament’s published schedule. Purchases made after the start of the match will not be valid for that particular prize draw but will remain eligible for subsequent draws. A single ticket shall remain eligible for all prize draws conducted during the Promotion Period, regardless of whether it has previously been selected as a winning ticket.

 

The prizes associated with each stage are as follows:

 

–      First match won (Group Stage – 1st victory): Long-Sleeve Football Tee

–      Second match won (Group Stage – 2nd victory): Football Tee

–      Third match won (Group Stage – 3rd victory): Football Knit

–      Round of 32 (First Knockout Round): Full Zip

–      Round of 16: Track Jacket

–      Quarter-Final: Soccer Barrel Bag

–      Semi-Final: A trip to New York for two people, including return flights, hotel accommodation, and tickets to attend the tournament Final – subject to the specific conditions set out in Clause 6.

–      Final: The Leather Jacket

2.6 Should the Spanish National Team fail to progress beyond a given stage, the prize draw corresponding to that stage and all subsequent stages shall be cancelled and no compensation shall be payable to participants.

 

3. NATURE OF THE PRIZE DRAW AND LEGAL FRAMEWORK

This promotion constitutes a random promotional prize draw within the meaning of Article 3(i) of Spanish Law 13/2011 of 27 May on the Regulation of Gambling, which defines such prize draws as those conducted solely for advertising or promotional purposes, where participation is linked exclusively to the purchase of a product or service without any surcharge or additional fee, and where prizes may consist of cash, goods, or services.

Pursuant to Article 2.2 of the aforementioned Law, promotional prize draws are excluded from its licensing and authorisation regime. Consequently, no prior licence, authorisation, or notification to the Directorate General for Gambling Regulation is required, with the promotion being subject only to the Gambling Activities Tax established under Article 48 of the same Law.

 

4. PROMOTION PERIOD AND TERRITORIAL SCOPE

4.1 This promotion is international in scope and open to any natural person aged 18 years or over, except for residents of jurisdictions where participation in purchase-linked promotional prize draws is prohibited or restricted by law. Employees of the Organiser and their immediate family members are expressly excluded from participation. The Organiser reserves the right to request documentary proof of age (passport, national identity card, residence permit, or any other valid official document). Any winner unable to prove that they are at least 18 years old shall be automatically disqualified and the prize shall be awarded to the first reserve winner.

4.2 The Promotion Period for purchasing the Digital Wallpaper shall commence on 11 June 2026 and shall end at the official kick-off time of the tournament Final. Purchases made after that time shall not be valid for any prize draw. The maximum number of Digital Wallpaper units available for purchase during the Promotion Period shall be 1,000,000 (one million) units.

4.3 Each prize draw shall take place within 24 hours following the conclusion of the winning Spanish National Team match that triggers it. The Organiser shall announce the result through its official channels (Instagram and email) within that period.

4.4 For all purposes, the Organiser’s server time shall be deemed the official time.

 

5. PRIZE DRAW PROCEDURE

5.1 Each prize draw shall be conducted through the certified online prize draw platform Sortea2 (www.sortea2.com), which guarantees the randomness, transparency, and traceability of the process. The Organiser shall upload the final list of eligible participants (identified by their unique ticket code) to the platform, which will automatically generate the winner through a certified random selection system. The result shall be recorded and publicly verifiable through the link generated by the platform itself.

5.2 For each prize draw, Sortea2 shall select, in a single process:

•       One (1) provisional winner (the first result generated by the draw); and

•       Three (3) provisional reserve winners, in order of selection, who shall be contacted sequentially should the winner or any preceding reserve fail to respond or fail to meet the requirements set out in these Terms.

If it becomes necessary to activate a reserve winner, the Organiser shall announce, through the same channels (Instagram, email, and telephone), the ticket code of the next participant in the order generated by Sortea2. The publicly verifiable draw link shall remain available through the Organiser’s official channels.

5.3  Winner Notification and Acceptance. Following the conclusion of the prize draw, the Organiser shall notify the provisional winner through the following channels:

•       Email: an automated notification shall be sent to the email address provided at the time of purchase, identifying the winner by their unique ticket code and including a formal acceptance form that the winner must complete in order to claim the Prize.

•       Telephone call: the Organiser shall also attempt to contact the provisional winner by telephone using the number provided during purchase, as a complementary means of notification.

The email notification constitutes the official and binding communication of the prize draw result. The telephone call is a supplementary contact attempt and does not replace the email notification for legal purposes.

5.4  Acceptance Form - Semifinal Prize. To formally claim the Prize, the provisional winner must complete the acceptance form included in the notification email within twelve (12) hours, given the time constraints associated with the tournament Final. All deadlines set out in these Terms in respect of prize acceptance and documentation submission shall be calculated in Peninsular Spanish Time (Europe/Madrid), irrespective of the winner’s country of residence or local time zone. The acceptance form shall require the winner to provide the following information:

•       Full name and national identity document number;

•       Postal address for prize delivery (where applicable);

•       Explicit confirmation of acceptance of these Terms and Conditions;

•       Full name and identity document number of the nominated companion, and confirmation that both the winner and companion hold valid travel documentation for entry into the United States.

Acceptance of the Prize through the form constitutes a binding and irrevocable commitment to attend the tournament Final in person and to comply with all conditions applicable to the travel prize set out in Clause 6. Submission of the acceptance form via electronic means shall have full legal validity in accordance with applicable Spanish law on electronic signatures and contracts.

5.5 Should the provisional winner fail to complete the acceptance form within the applicable period, or fail to meet any of the eligibility requirements set out in these Terms, the Prize shall pass to the first reserve winner, who shall have twelve (12) hours to accept under the same conditions. This process shall continue sequentially through the reserve list. Should none of the reserve winners accept the Prize within the applicable period, the Prize shall be deemed forfeited and no compensation shall be payable.

5.6 The Organiser reserves the right, at its sole discretion, to disqualify a winner, withhold the prize, or declare the prize forfeited in the event of any breach of these Terms.

 

6. PRIZES

6.1 Prizes are not cumulative, non-transferable, non-exchangeable for cash, and are awarded on a strictly personal basis. A winner may decline a prize but shall not be entitled to request any monetary alternative or substitute compensation.

6.2 Physical product prizes (garments and accessories from the Football Edition collection) shall be supplied in the sizes and colours available at the time of the relevant prize draw. If the winner’s requested size is unavailable, the Organiser shall offer an alternative available size or, at its sole discretion, a voucher of equivalent value redeemable on the Nude Project online store.

 

Semi-Final Prize – Trip to New York

6.3 The Prize corresponding to the Semi-Final prize draw consists of two (2) return economy-class flights from an airport designated by the Organiser to New York City (USA), for two (2) people, together with two (2) nights’ hotel accommodation in New York City in a double/twin room, and two (2) tickets to attend the tournament Final, for the winner and their companion.

 

Specific Conditions of the Travel Prize

–      Companion and Age Requirements: The winner must nominate their companion at the time of completing the acceptance form. Both the winner and the nominated companion must be at least 18 years of age at the date of the tournament Final. In addition, and due to the operational requirements applicable to the Prize — in particular, hotel accommodation policies in New York City, where the majority of hotels require guests to be at least 21 years of age at check-in — at least one of the two travellers (the winner or the nominated companion) must be at least 21 years of age at the date of the tournament Final. The traveller who is at least 21 years old shall be designated as the hotel reservation holder and must be physically present at check-in to sign for the room. The Organiser reserves the right to require documentary proof of the age of both travellers at any time prior to issuance of the flights and hotel booking. Should neither the winner nor their nominated companion be at least 21 years of age at the date of the Final, or should the traveller aged 21 or over be unable to attend the hotel check-in, the Prize shall pass to the next reserve winner in accordance with Clause 5.5. Once nominated in the acceptance form, the identity of the companion may not be changed under any circumstances, including but not limited to prior to or after the issuance of flights, hotel booking, or match tickets. The Organiser accepts no responsibility for the suitability, eligibility, or availability of the nominated companion.

–      Duration and Origin: The Prize includes return economy-class flights from the winner’s country of residence to New York City, and two (2) nights’ hotel accommodation in New York, with travel dates linked to the date of the tournament Final. Where the winner resides outside Spain, the Organiser shall cover return flights from an international airport within the winner’s country of residence, subject to the availability of commercial routes to New York City and to the winner (and their companion) holding valid documentation for entry into the United States and for transit through any connecting countries. The hotel category, specific property, departure airport, airline, connecting airports, and flight schedules shall be selected at the Organiser’s sole and exclusive discretion. Where the winner’s country of residence entails an exceptionally high air travel cost, the Organiser reserves the right to limit the flight component of the Prize to the reasonable market value of a comparable economy-class return itinerary and to offer the winner the option of either accepting such flights or receiving the equivalent monetary value in lieu of the flights only. The winner may not request changes to any element of the travel arrangements or their substitution for cash except as expressly provided herein.

–      Exclusions: The Prize does not include local transport, meals, travel insurance, or any other expense not expressly included within the Prize description.

–      Ticket Transfer: The two (2) tickets to the tournament Final form part of this Prize and will be acquired and managed directly by the Organiser. The tickets shall be transferred to the winner no earlier than twenty-four (6) hours and no later than forty-eight (24) hours prior to the match, through the official ticketing platform or transfer mechanism designated by the Organiser. The winner accepts that the specific transfer method is subject to the ticketing platform’s technical requirements and availability, and that the Organiser shall not be liable for delays attributable to the platform.

–      Prohibition of Resale: The winner and their companion expressly acknowledge and agree that the tournament Final tickets form part of a promotional prize and are awarded strictly for personal attendance. The resale, transfer, exchange, or any other form of commercial exploitation of the tickets, whether in whole or in part, for any consideration or free of charge to a third party, is strictly and expressly prohibited. By accepting the Prize, the winner declares under their personal responsibility that the tickets will be used exclusively for personal attendance at the match. Should the Organiser have reasonable grounds to believe that the winner has breached this prohibition, the Organiser reserves the right to claim compensation equivalent to the full cost of the flights and hotel accommodation borne by the Organiser in connection with this Prize, as liquidated damages. The winner also acknowledges that resale of tickets to major sporting events may constitute a criminal offence under the laws of Spain and/or the United States, and accepts sole legal responsibility for any such conduct.

–      Travel Documentation and Entry into the United States: The winner and their companion are solely responsible for obtaining and maintaining all documentation required to travel to and enter the United States. The Organiser neither guarantees nor arranges visas, ESTA authorisations, entry permits, or any other immigration or consular documentation.

–      ESTA/Visa Processing Warning: As flights may be scheduled less than five (5) days prior to departure, participants are expressly advised that ESTA authorisations (for citizens of countries participating in the Visa Waiver Program) may be requested through the expedited online process available at esta.cbp.dhs.gov; however, approval within such timeframe cannot be guaranteed. Citizens of countries not participating in the Visa Waiver Program must hold a valid visa. The Organiser strongly recommends that both travellers verify their immigration status and documentation requirements as far in advance as possible. Any refusal of entry into the United States due to documentation, immigration, or visa-related issues shall not entitle the winner to a substitute Prize or to any financial compensation.

–      Mandatory Proof of Travel Documentation: In order to safeguard the operational feasibility of the Prize, and given the tight timeframe between the prize draw and the tournament Final, upon submission of the acceptance form the winner shall be required to provide, within twelve (12) hours of submission of the form, documentary evidence sent by email to help@nude-project.com demonstrating that both the winner and their nominated companion hold or are actively processing the travel documentation required for entry into the United States. Acceptable evidence includes, without limitation: (i) a screenshot or PDF copy of a valid, approved ESTA authorisation for both travellers; (ii) a screenshot or PDF copy confirming submission of the ESTA application to U.S. Customs and Border Protection for both travellers, in the event the authorisation has not yet been approved; or (iii) a copy of a valid U.S. visa for both travellers, or documentary evidence of an urgent consular appointment scheduled, where the traveller is not eligible under the Visa Waiver Program. This requirement shall not apply to travellers who are U.S. citizens or lawful permanent residents of the United States and are therefore not required to obtain ESTA authorisation or a visa; in such cases, the winner shall provide a copy of the traveller’s valid U.S. passport or Permanent Resident Card (Green Card) within the same twelve (12) hour period. Should the winner fail to provide the applicable evidence within the twelve (12) hour period, the acceptance shall be automatically invalidated and the Prize shall pass to the next reserve winner in accordance with Clause 5.5. The Organiser reserves the right to request additional supporting documentation at any time prior to the issuance of the flights and hotel bookings.

–      Prize Expiry: Should the winner fail to complete the acceptance form within the applicable period, fail to provide the required documentation, or if the flights or hotel accommodation cannot be issued or booked for reasons attributable to the winner (including failure to hold valid travel documentation), the Prize shall pass to the next reserve winner in accordance with Clause 5.5 or be declared forfeited.

–      Failure to Travel: Should the winner or their nominated companion be unable to travel on the scheduled dates for any reason attributable to them, including but not limited to illness, positive test for a communicable disease, personal or family circumstances, missed flight, denial of boarding by the carrier, or any other cause not directly attributable to the Organiser, no rescheduling, substitution, refund, or monetary compensation shall be offered. In such circumstances, the Prize shall be deemed fulfilled by the Organiser and no further liability shall arise.

–      Conduct During the Trip: The winner and their companion shall behave in a lawful and reasonable manner throughout the trip, including at the airport, in transit, at the hotel, at the stadium, and in any public or private venue. Nude Project shall bear no responsibility whatsoever for the conduct of the winner or their companion during the trip. Any costs, fines, damages, or liabilities arising from such conduct — including but not limited to damages to hotel property, penalties imposed by airlines, stadium ejection or bans, removal or deportation from the United States, or any other cost derived from the traveller’s conduct — shall be borne exclusively by the winner. The winner also agrees to indemnify Nude Project against any third-party claims arising from their or their companion’s conduct during the trip.

–      Audiovisual Content: The Organiser may, at its sole discretion, choose to produce audiovisual or photographic content documenting the winner’s and companion’s experience during the trip, including but not limited to interviews, behind-the-scenes footage, and content for use on Nude Project’s official channels. The winner and their companion agree that, in the event the Organiser decides to produce such content, they shall reasonably cooperate and permit its production and subsequent use in accordance with Clause 7.3. The Organiser is under no obligation to produce any such content, and the absence of audiovisual content shall not constitute a diminution of the Prize.

–      No Reimbursement of Winner-Incurred Expenses: The winner shall not be entitled to any reimbursement, indemnification, or compensation whatsoever for any expenses they may have incurred in anticipation of or in connection with the Prize — including but not limited to ESTA fees, visa fees, travel insurance premiums, unpaid leave from employment, cancellation charges, or any other cost — in the event that the winner is subsequently disqualified, the Prize is transferred to a reserve winner, or the Prize is otherwise not delivered for any reason attributable to the winner or beyond the Organiser’s reasonable control.

The Organiser accepts no responsibility for flight cancellations, changes to match schedules, refusal of entry into the destination country, or any other circumstance beyond its reasonable control.

 

7. WINNER NOTIFICATION AND PUBLICATION

7.1 The result of each prize draw shall be communicated publicly through Nude Project’s official Instagram account (@nudeproject) and by email notification to the address provided at the time of purchase. In both cases, the unique identification code of the winning ticket shall be disclosed. The winner must verify their identity by presenting the winning ticket code together with proof of purchase and a valid form of identification.

7.2 The public announcement of the winner shall be made through Nude Project’s official Instagram account as the primary communication channel and may be supplemented through other digital channels operated by the Organiser. Participation in the Prize Draw constitutes acceptance that the unique code of the winning ticket and, where applicable, the winner’s name or username (following acceptance of the Prize) may be published through such channels for informational purposes.

7.3 Winners agree that their name and image may be published on the official platforms of Nude Project and its collaborators and hereby grant the Organiser, free of charge, a worldwide licence to reproduce, distribute, and communicate such content to the public for the maximum period permitted by applicable law.

 

8. PRIZE FULFILMENT

8.1 Physical prizes shall be delivered by courier to the address provided by the winner within thirty (30) calendar days of acceptance of the Prize. Shipping costs within the European Union shall be borne by the Organiser. For deliveries outside the European Union, any customs duties, import taxes, tariffs, or other charges shall be borne exclusively by the winner.

8.2 The winner must provide valid identification, in the form of a national identity card, residence permit, or passport, at the time of delivery or issuance of the Prize.

8.3 The Organiser reserves the right to substitute any physical prize with its net cash value in the event of unavoidable logistical restrictions, provided that the winner is informed prior to fulfilment of the Prize.

 

9. LIABILITY AND LIMITATION OF LIABILITY

–      Nude Project S.L.U. does not guarantee uninterrupted access to its website or the absence of technical errors.

–      The Organiser shall not be liable for connection failures, issues caused by third-party providers, delays, damage, losses, or any indirect loss, loss of profit, or non-material damage arising from participation in the Prize Draw.

–      In all circumstances, the Organiser’s maximum liability towards any participant shall not exceed the amount individually paid by that participant for the Digital Wallpaper.

–      The Organiser reserves the right to invalidate entries where it detects the use of automated systems, bots, or any method that compromises equal participation opportunities or the technical stability of the website.

 

10. ORGANISER’S RIGHTS

The Organiser reserves the right to suspend, extend, cancel, or amend the Prize Draw where required due to technical issues, organisational reasons, or events of force majeure, provided that such changes are communicated through the same channels used to promote the Prize Draw. The Organiser may also disqualify entries it considers fraudulent or non-compliant with these Terms without incurring any liability. In the event of any error, misunderstanding, or dispute relating to the operation of the Prize Draw or the conduct of participants, the Organiser’s decision shall be final and binding.

 

11. PERSONAL DATA PROTECTION

Participants’ personal data shall be processed by Nude Project S.L.U., acting as Data Controller, in accordance with Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018 on Data Protection and Digital Rights (LOPDGDD), for the following purposes:

•       Administration of the Prize Draw;

•       Invoicing and fulfilment of the Prize;

•       Compliance with legal and tax obligations;

•       Contact and identity verification of prize winners (including by telephone).

Personal data shall not be disclosed to third parties except where required by law or where operationally necessary for the administration of the Prize Draw.

Participants may exercise their rights of access, rectification, erasure, objection, restriction of processing, and data portability by contacting:

12. INTELLECTUAL PROPERTY AND TRADE MARKS

–      All trade names, trade marks, logos, slogans, designs, digital wallpapers, audiovisual content, and any other distinctive signs appearing in this promotion are the exclusive property of Nude Project S.L.U. or its lawful licensors.

–      Any reproduction, distribution, public communication, or use of such materials without the Organiser’s prior express written consent is strictly prohibited.

–      The designation “Football Edition”, together with all related commercial names, are proprietary trade marks of Nude Project S.L.U. and do not imply any relationship whatsoever with FIFA, football associations, sporting bodies, or third-party brands.

 

13. AMENDMENTS, CANCELLATIONS AND FORCE MAJEURE

–      Nude Project S.L.U. may amend, postpone, or cancel any of the prize draws for justified reasons, technical causes, or events of force majeure, provided that notice is published on its website and official channels.

–      In particular, cancellation of the tournament or elimination of the Spanish National Team from the competition shall constitute force majeure events that may result in the cancellation of any pending prize draws without any entitlement to compensation.

 

14. GOVERNING LAW AND JURISDICTION

–      These Terms shall be governed by and construed in accordance with Spanish law.

–      Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Courts of Barcelona, Spain, and the parties expressly waive any other jurisdiction that may otherwise apply.

–      This provision shall be without prejudice to any mandatory consumer rights afforded under the laws of the participant’s country of residence, where such rights cannot be excluded or limited under applicable consumer protection legislation.

 

15. ACCEPTANCE OF THE TERMS AND CONDITIONS

–      Participation in the Prize Draw constitutes full, express, and unconditional acceptance of these Terms, together with any supplementary documents available on the Organiser’s website, including the Legal Notice, Privacy Policy, Cookie Policy, and Terms of Use.

–      By purchasing the Digital Wallpaper, the participant confirms that they have read, understood, and accepted all applicable terms and conditions prior to completing the purchase.

–      The Organiser reserves the right to disqualify any participant who breaches these Terms, without giving rise to any entitlement to compensation.
